Question 2
Within each industry there are specific requirements for the business license as well. Of course, once authority is given for the joint venture to exist, the company has to implement the approvals. This usually results in further negotiations between partners.
Chinese Law
China’s legal system is slowly beginning to develop, but it is still in the early stages. The new Company Law, effective July 1, 1994, is the first of its kind since the establishment of the People’s Republic of China in 1949. Previously, foreign investors had to rely on vague rules cited by officials and on hearsay from other foreign firms experiences, now they can base their decisions on this law, adopted at the Fifth Session of the Standing Committee of the 8th National People’s Congress. The Company Law governs all limited liability and joint stock companies, including those with foreign investment.
Accounting
Accounting practices are not universal in China; the kind of organization—equity joint venture, cooperative joint venture or solely owned foreign investment enterprise—will determine how accounts are kept. Foreign investment manufacturing firms are not subject to import duty if their products are exported. Duty-free havens exist to encourage manufacture-for-export by foreign investment enterprises.
Marketing
Marketing inside China is very difficult for foreign firms unless they are joint venture partners of Chinese firms already involved in domestic marketing. Distribution channels usually coincide with the governmental administrative regions. Transportation and telecommunication infrastructures limit development also. Nevertheless, the market is so enormous that even one region is enough to sustain a business. Consumer demand for commodities and services is great. Manufacturers can sell with very little promotion, but at the same time name recognition is very important for the appeal to status that is a characteristic of Chinese culture. Billboard advertising is effective, along with television commercials.
Financing
Financing of foreign business in China may take several forms. Wholly foreign investment enterprises usually export to a subsidiary or trading company in another country. The total investment in joint ventures is registered capital (equity) plus circulating funds (debt) .Debt-equity ratios are published and conform to levels set by China. The equity often comes from the foreign partner and working capital from the Bank of China, in large projects, companies can go public. Some enterprises in China float bonds; in 1993 convertible bonds appeared, convertible into common shares. One successful example is the Shanghai Pinkerton Float Glass Plant.
Equity joint venture operations allow either partner to bring anything into China without duty.

It really is a marvellous idea to have a member of staff available throughout the conference. It can prove our relationship between employers and employees. In fact, we longed for this opportunity to contact our staffs and get to know whether they were satisfied with the company, their job and employers. Thanks for your considerate arrangement.
Can we book again for next year? We are thinking of a one-day conference for about 100 people in November, 2002, probably the 9th or 10th of the month.
One small criticism, however, it was felt that the menu was uninspiring for vegetarians, since only two main courses were suitable for them. Will this be improved?

Subject GEOPHYSICAL SURVEYS
I have just read some material on geophysical surveys, and I think we should start taking this matter seriously and include them in all our development plans. Like most companies, we are now spending only 0. 2 percent of the total contract value on ground investigation; yet this is the most unpredictably variable in any building work as there are often nasty and expensive surprises.
You may recall the incident in Bury thirty years ago, when a housing project was disrupted by the discovery that old chalk mines were collapsing underneath the site. In a more recent example, a factory building had to be demolished for building on unstable rubbish tip. Imagine the impact on our reputation and our profit should our company be in such a situation.
Most of our urban developments are on brown field sites and I think it is vital for us to know how previous constructions have affected the land. Traditionally we have resorted to trial pits and bore holes to determine the stability of building land. But now these techniques are outdated as they may stir up some harmful deposits (chemical, heavy metals, etc.) underground.
The new technology—tomography—sends electromagnetic radiation or electricity into the ground and interprets the reflected signal. These systems are now available on a commercial basis and I really think we should start getting some quotations. I do not think it will be cheap, as we will need to hire equipment as well as a geotech-nical specialist; however, investment in this is worthwhile considering the possible disastrous consequence of not conducting ground survey properly.
I have the names of several companies which offer this service and I intend to gather more information. Perhaps we could arrange a time to discuss this further.
